Danziger & Markhoff LLP's corporate department represents owners of closely held businesses in organizing new ventures (including determining the most advantageous tax structure for the business) and preparing partnership, shareholder and joint venture agreements. The firm also functions as general counsel for numerous clients, reviewing contractual matters on an ongoing basis and providing advice on many business and legal issues.
The firm represents commercial clients in all types of businesses - manufacturing, retail and service - and in matters both domestic and international. In past years, for example, we assisted one of our clients, the owner of a valuable collection of antique musical instruments, in identifying a buyer for the collection - a Japanese museum. We negotiated the asset purchase agreement and related issues with Japanese counsel, navigated the intricate export licensing issues which might have impeded the sale, analyzed the tax consequences, and structured and concluded the transaction expeditiously.
